Terms governing use of the EntelePay website and technical implementation services.

Nature of EntelePay Services

EntelePay is a technical implementation service operated by TVK Labs & Technologies under the KRON Payment Systems umbrella. EntelePay is not a bank, money services business, payment processor, exchange, broker-dealer, custodian, wallet provider, or licensed financial institution. We do not hold customer funds, process payments on our own behalf, or take custody of digital assets.

Payment technologies, processors, gateways, custodians, and related services referenced or configured through EntelePay are provided by independent third parties. Those providers operate under their own terms, privacy policies, compliance programs, and eligibility criteria. EntelePay does not control, guarantee, or assume responsibility for third-party services.

Acceptance

By accessing this website or engaging EntelePay services, you agree to these Terms of Service and our Acceptable Use Policy. If you do not agree, do not use our services.

Services

EntelePay provides technical assessment, configuration, integration, documentation, and handover services related to payment infrastructure. Specific deliverables, timelines, and fees are defined in a written proposal or statement of work agreed before work begins.

EntelePay does not guarantee merchant approval, account activation, transaction approval, uptime, or regulatory clearance from any third-party provider.

Client Responsibilities

You are responsible for:

  • Accuracy of information provided to us and to third-party providers
  • Maintaining control of accounts, wallets, and credentials you own
  • Compliance with applicable laws, including AML/KYC, licensing, and tax obligations
  • Evaluating the suitability of payment technologies for your business
  • Safeguarding private keys and access credentials after handover

Fees and Payment

Standard projects are commonly structured with an initial payment at project commencement and the remaining amount linked to agreed delivery milestones. Final terms are stated in the project proposal.

Unless otherwise stated in a proposal, provider fees, network fees, legal advice, licensing, taxes, hosting, and third-party charges are not included.

Credentials and Custody

Implementations are performed using accounts, wallets, and infrastructure that you own and control unless explicitly agreed otherwise in writing. EntelePay does not take custody of your funds or private keys. Temporary access credentials provided for configuration should be rotated after handover.

Intellectual Property

EntelePay retains rights in its methodologies, templates, and pre-existing materials. Custom configuration, documentation prepared for you, and accounts created in your name belong to you upon full payment, subject to third-party license terms.

Confidentiality

Each party agrees to protect non-public information received from the other, except where disclosure is required by law or authorized in writing.

Disclaimer of Warranties

Services and website content are provided on an as-is and as-available basis to the fullest extent permitted by law. EntelePay disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, EntelePay's aggregate liability arising from any engagement is limited to the fees paid for that engagement. EntelePay is not liable for indirect, incidental, special, consequential, or punitive damages, or for losses arising from third-party provider actions, blockchain networks, market volatility, misconfigured credentials, or regulatory changes.

Termination

Either party may terminate an engagement according to the applicable statement of work. We may suspend website access or services for violations of these terms or the Acceptable Use Policy.

Governing Law

These terms are governed by the laws of the jurisdiction specified in your statement of work or, if none is specified, the jurisdiction of the contracting EntelePay entity once formally designated. [Governing law and venue to be confirmed upon incorporation.]
